The IT Commercial Contract Manager works with Procurement, Legal, Information Governance (IG), Data Protection Officer (DPO) and other IT departments to define, procure, negotiate and maintain an appropriate set of third party contracts. These will comprise of but not limited to hosted services, managed services, licenses and support services, across all categories of IT spend. The role also acts as the key subject matter expert in IT for all procurement and contractual related activities. Scope of role To manage the ongoing commercial delivery and renewal, where appropriate, of third party contracts, ensuring activities are aligned to business and strategic IT requirements and ensuring a clear view of the supplier portfolio is maintained. Provide IT Commercial support to other IT departments to aid management of supplier delivery. To support new initiatives / contracts, for both the IT department and in other areas of Southern Water in assessing and evaluating commercial terms for delivery of IT services. Major accountabilities of role Approx. % of time spent in role 1. Owns and manages the IT Contract Portfolio of BAU contracts to an Opex value which exceeds £20m including but not limited to Frameworks, Managed Service Contracts, License and Support & Maintenance contracts, Hosting and/or Hosted Service Contracts. 15% 2. Leads the BAU contract renewal process, assessing and recommending contract extensions in line with business demand and IT strategy, negotiating with suppliers to achieve best value. Adhering to the Procurement self-service process, ensuring Legal, IG & DP requirements are met, including UCR compliant contract terms. Ensuring 'lights on' contracts are renewed as appropriate or terminated where not required within contractual deadlines. 15% 3. Manages the negotiation and agreement of new IT contracts under Procurement Self Service, with a varied supplier landscape for services, licenses, etc. driven by Project demands, to project timescales, ensuring best value. Liaises with Legal, IG & DP to ensure SW contract requirements are met, including liaison with Group Treasury as required. On boards the contract into the IT Contract Portfolio ensuring key commercial dates are understood and managed on an ongoing basis. 15% 4. Draft, evaluate, negotiate and execute commercial contract schedules and contract schedule changes (e.g. pricing, service levels, service credits, delay payments) in support of BAU change and project delivery under the various Framework Agreements (e.g. Reseller, IT Developer Services) to best value for SW, ensuring that SW legal, IG & DP contract requirements are met. 10% 5. Manages supplier relationships and leads commercial supplier reviews where appropriate, including Managed Framework providers and key suppliers to provide feedback and challenge on future service improvements and efficiency savings. Manages Reseller Framework engagement and processes ensuring ongoing review of performance and monitoring of spend against Opex and Capex Budgets. 15% 6. Contributes to the preparation, negotiation and management of OPEX and Capex budgets with regard to renewals of contracts, including managed services. 5% 7. Provide commercial & contractual subject matter expert knowledge, working with Procurement, Legal, IG and DPO in support of IT colleagues involved in the day-to-day management of supplier delivery to assist with ensuring that third party services are managed to contract. 5% 8. Contribute to the adherence to UCR / OJEU compliance, working with Procurement to identify risks and advising the business where appropriate. 5% 9. Contribute to and own commercial elements of Request for Information (RFI), Request for Proposal (RFP), Request for Quotation (RFQ), ITT (Invitation to tender) and associated tender documentation ensuring appropriate contribution from Procurement, Legal IG and DP. 5% 10. Responsible for the full legal review of contracts within agreed IT Legal Self-Service scope, ensuring SW contract requirements are met within Legal guidelines, Ongoing management and review of the IT Legal Self Service process in conjunction with Legal to identify improvements. 10% Experience and capability requirements Knowledge/experience: * Significant experience in IT Supplier Management, Vendor and Supplier Chain Management, within multi-vendor IT and Cloud environment. * Good knowledge and understanding of Utilities Contracts Regulations (UCR). * Experience in Commercial process management within large and complex IT environments. * Significant knowledge and experience in contractual terms sufficient for Legal to defer review of contracts within set IT Legal Self Service scope. * Technical knowledge and expertise in supplier assurance, controls, performance evaluation. * Understanding of Compliance and internal audit processes relating to key contracts. * Good knowledge and understanding of Procurement and Bid process knowledge (Supply Chain Management)
